Architectural Definitions
Digital Portal :The online marketplace and store operating under GS Motors.
The Company"**,**"We"**, **"Us"**: Refers to GS Motors.
"The Customer"**, **"You"**: Any retail consumer or commercial entity procuring items through our offline or online channels.
"Merchandise": All electric vehicle components, assemblies, spare parts, and accessories offered for sale.
"Independent Transporter"**: Any third-party freight firm, courier service, or logistics partner utilized for cargo movement.
Scope of Agreement
These provisions dictate the legal relationship for all sales finalized across our Digital Portal as well as over-the-counter transactions at our physical facilities. Initiating a purchase request, browsing our catalog, or processing a payment establishes your absolute consent to these rules.
Client Demographics
Our supply chain accommodates both institutional business buyers and individual consumers. For retail consumers, any non-waivable statutory rights provided by local legislation remain active; otherwise, these provisions distribute operational liabilities and risks as outlined herein.
Inventory Accuracy
We make every effort to display correct specifications and product images. However, technical updates or minor production adjustments may occur without notice, and minor physical deviations do not constitute a breach of conformity.
Pricing Framework & Incoterms
* All commercial quotes are structured on an **Ex-Works (EXW) Incoterms® 2020** basis from our designated fulfillment depot.
* Listed prices exclude GST, statutory levies, customs tariffs, shipping fees, transit insurance, or special handling costs unless explicitly stated during checkout.
* We retain the right to rectify obvious printing or pricing mistakes by invalidating and refunding any impacted orders.
Order Management and Terminations
* A submitted order represents a commercial offer. Contractual acceptance is finalized only when we transmit a formal written confirmation or hand the materials over for dispatch.
* We reserve the right to decline transactions due to supply deficiencies, regulatory challenges, KYC failures, or fraud risks.
* Customer-requested cancellations before shipment may incur restocking or administrative charges. Custom-manufactured, indented, or special-order items cannot be canceled under any circumstances.
Advance Settlement: ** All shipments require a **100% advance payment** prior to dispatch. No stock will move until funds clear completely.
*Realization of Funds:** A transaction is recognized *only* when the amount is successfully credited to our corporate bank account. Providing a payment screenshot, UTR number, bank advice, or gateway status does not serve as validation of payment receipt.
*Banking Network Failures:** We bear no liability for transactions that are held, delayed, or rejected by payment networks or banking institutions. The Customer must address gateway errors directly with their financial provider.
Statutory Compliance (Cash & Taxes): Cash transactions are accepted strictly within the thresholds defined by Indian income-tax regulations, requiring PAN/KYC compliance where mandated.
TDS & TCS Processing: If Tax Collected at Source (TCS) applies, it will be added over the invoice value. If you are legally required to process Tax Deducted at Source (TDS), you must inform us in writing *prior* to settlement and submit valid TDS certificates within standard legal timelines.
Logistics, Shipping, and Risk Transfer *
For standard **EXW** transactions, our legal responsibility for cargo integrity ceases the moment the Merchandise is made available for collection or handed to your designated transport vehicle—whichever occurs first. * If we assist in arranging a shipment, we act strictly as your voluntary **booking agent** with the Independent Transporter.
Shipping estimates and courier recommendations are purely advisory and non-binding.
* Risk transitions to the Customer at our warehouse floor, even when we facilitate the courier booking.
* We do not provide transit insurance coverage,Customers are advised to arrange their own transit coverage.
Any claims regarding shipping delays, physical damage, shortages, or pilferage must be filed directly by the Customer against the Independent Transporter or insurer.
Retention of Title Legal ownership of the Merchandise shifts to the Customer only upon the verified arrival of full, cleared payments into our bank account. Until this occurs, the items are held by the Customer on a bailment basis and should be stored distinctively.
Address and Tax Compliance Liability
* The Customer bears exclusive responsibility for verifying the accuracy of billing addresses, shipping points, GSTIN entries, and state classifications prior to dispatch.
* If shipping delays, cargo impoundment, or fines are issued by GST authorities due to inaccurate customer data or compliance failures (such as e-way bill or HSN errors), all associated liabilities, storage fees, demurrage, and return freight costs fall solely on the Customer.
Delivery Inspection & Mandatory Unboxing Protocol (POINT TO REMEMBER)
* You must check all external packaging on delivery and note any structural tampering or box damage directly on the courier’s delivery sheet.
* **Compulsory Unboxing Video:**
To process claims for short-quantity or missing components, you must record a **single, continuous, unedited video** starting *before* the outer seal is broken. The footage must clearly display the shipping label, unbroken package seals, the complete step-by-step unboxing, the included packing list, and the item count (including real-time item weight on a scale where relevant).
* **Reporting Window:**
This unaltered video file, alongside your order number and images of the packing slip, must be sent to our team via WhatsApp **within 12 hours of delivery**. *
If our internal warehouse logs confirm a packing error on our side, our liability is restricted to sending the missing units or issuing a refund for that specific value. Shortages caused by transit theft or pilferage must be handled through the carrier.
Transit Damage
We assume zero accountability for material losses, component degradation, or delays caused during transit. These issues must be addressed directly with the carrier or underwriting insurer. ### 13. Returns and Adjustments Outside of verified short-shipment or incorrect item delivery confirmed under Clause 11, all transactions are final.
Any exceptional return approved in writing must be completely unused, preserved in original factory packaging, and shipped EXW at the Customer's expense within **7 days** of arrival, subject to a standard restocking fee.
Warranties and Product Disclaimers
* All items are provided strictly on an **"as-is" and "as available"** basis, devoid of any explicit or implied performance or testing warranties, except where a specific manufacturer warranty is attached to the item. * Validating the final engineering integration, safety testing, and regulatory certification for your specific application remains your exclusive operational responsibility.
Technical Specifications and Documentation
Any application diagrams, performance data sheets, or casual engineering advice provided by our staff are for educational reference only. They do not constitute an engineering guarantee or design warranty.
Operational Compliance and Resale
The Customer is responsible for ensuring the lawful storage, installation, resale, and disposal of all items, complying fully with environmental mandates, including battery disposal laws and Extended Producer Responsibility (EPR) frameworks.
Ultimate Limitation of Liability
To the absolute extent permitted under applicable law, GS Motors shall not be held liable for any indirect, special, punitive, or consequential damages (including loss of business revenue, commercial profits, or operational uptime).
Our total cumulative liability for any breach or claim connected to an order shall never exceed the exact net amount paid by the Customer for the specific individual items causing the dispute, excluding external logistics and tax components.
Force Majeure
We are absolved from any delivery failures or performance delays arising from events beyond our viable control, including but not limited to climate disasters, labor strikes, government blockades, supply chain shutdowns, power grid failures, or systemic transport disruptions.
Intellectual Property Protection
All textual assets, graphic assets, product branding, software configurations, and logos featured on our Digital Portal remain the exclusive property of GS Motors or its technical partners. No usage rights are extended through standard commercial browsing.
Indemnification
The Customer agrees to protect, defend, and hold harmless GS Motors against any legal claims, regulatory fines, structural losses, or financial expenses arising from a breach of these terms, product manipulation, or violation of external statutory laws.
Governing Law & Dispute Framework
* This entire agreement is governed exclusively by the laws of India.
* Any unresolvable conflicts, claims, or structural disagreements shall be definitively settled through a sole arbitrator under the rules of the Arbitration and Conciliation Act, 1996. The official seat and venue for all formal legal proceedings shall be held exclusively within the city of our primary corporate headquarters.
Severability and Amendments
If a court finds any single provision within this text invalid, the enforceability of the remaining clauses shall not be impacted. We reserve the right to alter these operational policies at any moment by posting updates to our storefront. Continued transaction placement serves as your acceptance of the revised policies.
